Terms and Conditions for Silver Foxx Media Production Services
As an experienced media production team, Silver Foxx Media Productions, the following terms and conditions (the "Terms") are set forth to govern the relationship between our team ("Producer") and the client ("Client") for the provision of media production services.*
1. Scope of Services: The Producer agrees to provide media production services as per the specifications outlined in the signed project proposal or agreement. This may include, but is not limited to, pre-production planning, filming, editing, post-production, and delivery of final media content.
2. Project Timeline and Deliverables: A project timeline including key milestones and deliverables will be agreed upon at the project's inception. The Producer commits to adhering to this timeline, subject to reasonable adjustments as may be necessary.
3. Client Responsibilities: The Client is responsible for providing clear, timely, and constructive feedback at each stage of the project. Any delays in feedback or provision of necessary materials by the Client may result in adjustments to the project timeline and additional costs.
4. Budget and Payment Terms: The total cost for the project will be outlined in the project agreement. Payment terms will be structured in stages, with a percentage due at project commencement, at mid-point, and upon project completion. Late payments may incur additional fees.
5. Changes and Revisions: Any significant changes to the project scope or deliverables, requested after the commencement of the project, may result in additional charges. Minor revisions may be accommodated within the agreed project scope.
6. Cancellation Policy: If the Client cancels the project after commencement, the Producer is entitled to compensation for the work completed to date, which may include a cancellation fee.
7. Intellectual Property Rights: Upon full payment, the final media content's ownership and associated intellectual property rights will be transferred to the Client, except for any third-party content or proprietary tools used by the Producer.
8. Confidentiality: Both parties agree to maintain confidentiality regarding any sensitive information shared during the course of the project.
9. Liability: The Producer is not liable for any indirect or consequential losses incurred by the Client in relation to the media production services.
10. Force Majeure: Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control (e.g., natural disasters, government restrictions).
11. Dispute Resolution: In the event of a dispute, the parties will first seek resolution through negotiation. If unresolved, disputes will be subject to arbitration or legal proceedings in a mutually agreed jurisdiction.
12. Amendment and Waiver: These Terms can only be amended in writing. The failure to enforce any provision does not constitute a waiver of that provision.
13. Governing Law: These Terms shall be governed by the laws of the jurisdiction in which the Producer is based.
By engaging Silver Foxx Media Productions for media production services, the Client agrees to these Terms and Conditions.
